Coinvex User Agreement
Welcome to Coinvex! This User Agreement (hereinafter referred to as the "Agreement") is entered into between you (also referred to as "User" or "Client" in this Agreement) and Coinvex Trading Platform (hereinafter referred to as "Coinvex", "Platform", "we", "us" or "our Platform"). This Agreement shall govern your use of the services provided by Coinvex as described below (as well as other services launched by Coinvex from time to time, collectively referred to as "Coinvex Services" or "Services").
By registering for and using a Coinvex account or Services, or obtaining, holding, or using wrapped tokens issued by Coinvex through the Coinvex official website (Coinvex.com), Coinvex Application Programming Interface (API), Coinvex mobile application, or any other Coinvex website (collectively referred to as the "Platform"), you confirm that you have read, understood, and accepted all the terms and conditions contained in this Agreement, including our Privacy Policy.
1. Securities Disclosure
No materials or other information provided on the Platform shall constitute or be construed as a recommendation, endorsement, offer, invitation, or solicitation for any transaction. Nor shall it constitute an offer to sell or a solicitation to buy any product or to engage in transactions related to securities, crypto assets, or other products. You further understand that no information provider, including third-party service providers, shall provide you with personal advice on the nature, potential, value, or suitability of any specific security, crypto asset, securities portfolio, crypto asset portfolio, transaction, or investment strategy. Any information provided is not tailored to the investment needs of any specific individual.
You acknowledge that all investments in securities or crypto assets involve various risks. Discussions about any security or crypto asset posted on the Platform may not include a list or description of relevant risk factors. Please note that market conditions change rapidly; therefore, any information, content, third-party content, or other materials provided through the Platform may be incomplete, outdated, or replaced by updated information. If you make decisions based on such information, you shall bear the relevant risks on your own.
2. Disclosure of No Professional or Investment Advice
Our Platform is not intended to provide tax, legal, insurance, or investment advice. No content on the Platform shall be construed as an offer to sell, a solicitation to buy, or a recommendation of any security or crypto asset by our company. You shall independently determine whether any investment, security, strategy, or other product or service meets your investment objectives and personal financial situation, and shall bear sole responsibility for such determination and decision-making. You should consult a lawyer or tax professional regarding your specific legal or tax situation.
3. Prohibited Service Regions
Coinvex does not provide products or services to users in certain specific jurisdictions, including China, Singapore, North Korea, Cuba, Iran, regions within Ukraine controlled by Russia (currently including Crimea, Donetsk, and Luhansk regions), and other jurisdictions where the Platform may decide to terminate services from time to time (collectively referred to as "Prohibited Service Regions"). If you become a resident of any Prohibited Service Region, or become aware of any user located in a Prohibited Service Region, you shall immediately notify us.
You understand and confirm that if it is verified that you have made a false statement regarding your current location or place of residence, Coinvex shall have the right to take appropriate measures, including immediately terminating your account and liquidating all open positions, to comply with this restriction or the laws of the relevant jurisdiction.
In addition, we do not provide services to individuals or entities listed on the U.S. Department of the Treasury's "Specially Designated Nationals and Blocked Persons List", the European Union's "Consolidated Financial Sanctions List", or the United Kingdom's "Sanctions List", nor to entities owned (or actually controlled) by individuals or entities on the above lists with an equity stake of 50% or more (collectively referred to as "Prohibited Parties"). We also do not provide services involving Prohibited Parties or that benefit them. You understand that our company shall have the right to take appropriate measures, including immediately terminating your account and liquidating all open positions, to comply with this restriction or the laws of the relevant jurisdiction.
4. Risk Disclosure for Crypto Asset Transactions
Before engaging in any transaction activity or using our Services, you must fully understand and assess the risks of crypto asset transactions. Before participating in crypto asset transactions, you must carefully evaluate your own risk tolerance.
Notwithstanding the foregoing disclosure, when using our Services, you may still face risks in terms of policy, compliance, investment returns, transactions, force majeure, etc. The following is a non-exhaustive list of specific risks:
- Policy Risk: Adjustments to national laws, regulations, or macro policies may affect the normal trading of crypto assets, resulting in losses to Coinvex users.
- Compliance Risk: If a user's crypto asset transaction activities violate national laws or regulations, the user may suffer losses.
- Investment Return Risk: The crypto asset market is characterized by 24/7 uninterrupted trading and large price fluctuations, and users may suffer losses in the market.
- Transaction Risk: The success of your transfer depends on whether the two parties to the transaction reach an agreement. Coinvex does not promise or guarantee the success of any transfer.
- Force Majeure Risk: In the event of natural disasters, wars, strikes, cyberattacks, or other unforeseeable, unavoidable, and insurmountable circumstances, Coinvex may be unable to operate normally, which may result in losses to users. Coinvex shall not bear any civil liability for user losses caused by force majeure.
- Delisting Risk: If a crypto asset project faces bankruptcy, liquidation, dissolution, violates national laws or regulations, or at the request of the project party, Coinvex will delist the crypto asset, which may result in losses to users.
- Technical Risk: Although the probability of technical failures occurring during crypto asset transactions is low, such possibility cannot be completely ruled out. If a technical failure occurs, it may affect user rights and interests.
- Operational Risk: Users may face risks due to operational errors, such as transferring funds to the wrong account or violating operating rules.
- Account Freezing Risk: If a user is involved in debt fraud or accused of criminal activities, their account may be frozen or compulsorily confiscated by judicial authorities.
5. Eligibility and Registration
By registering for a Coinvex account, using, or accessing Coinvex Services, you represent and warrant that:
- If you are an individual, you have reached the legal age required by applicable laws to enter into a binding contract;
- Whether you are an individual, legal person, or other organization, you have full capacity for civil conduct and sufficient authority to sign this Agreement;
- You have not been suspended or prohibited from using the Coinvex Platform or related Services in the past;
- You do not currently hold any other Coinvex account;
- You are not located in a Prohibited Service Region, do not access the Coinvex Platform or Services from a Prohibited Service Region, and do not act on behalf of any individual or legal person located in a Prohibited Service Region;
- If you are an employee or agent of a legal entity and sign this Agreement on behalf of that entity, you represent and warrant that you have sufficient rights and authority to bind the legal entity and to access and use the Coinvex Platform and Services on its behalf;
- Your use of the Coinvex Platform and Services does not violate any laws or regulations applicable to you or the legal entity you represent, including but not limited to regulations related to anti-money laundering, anti-corruption, and anti-terrorist financing.
All users must apply for a Coinvex account before using Coinvex Services. When registering for an account, you must provide the information required by this Agreement or otherwise requested by Coinvex, and accept this Agreement, the Privacy Policy, and other Coinvex legal documents. Coinvex reserves the right to decide at its sole discretion to refuse to open an account for you.
You agree to provide complete and accurate information when opening an account, and to promptly update the information provided to Coinvex to ensure its completeness and accuracy. Each user (including natural persons, enterprises, or legal entities) may hold only one primary account at any time. Unless otherwise specified in this Agreement or other legal documents, the registration, use, protection, and management of such transaction accounts shall be governed by the terms of this Agreement.
Please note that legal requirements in different countries may impose restrictions on the products and services that Coinvex can legally provide. Therefore, in certain jurisdictions or regions, or for certain users, some products, services, and specific functions on the Coinvex Platform may be unavailable or restricted. It is your responsibility to understand and comply with the restrictions and/or requirements imposed by relevant countries on the access and use of the Coinvex Platform and Services by you or the entity you represent. Coinvex reserves the right to change, modify, or add restrictions on the access and use of the Platform and/or Services from time to time at its sole discretion, without prior notice.
6. Account Security Management and User Information
The User understands and agrees that it is the User's sole responsibility to maintain the confidentiality of the Coinvex account and password, and the User shall be responsible for all activities conducted under their account (including but not limited to information disclosure, information release, online confirmation of clicks or submission of various rules and agreements, online renewal or purchase of services, etc.). You shall bear full responsibility for all actions and statements made using your account and password, and agree to comply with the following provisions:
- The User shall set a password (including but not limited to login password, fund password, mobile phone number bound during account registration, verification code received via mobile phone, Google Authenticator, etc.; the specific form may change, the same below) in accordance with the relevant rules and prompts of Coinvex. The User shall avoid choosing overly obvious words or dates (such as the User's name, nickname, birthday, etc.) as the password.
- The User shall not disclose their account or password to any third party, nor use any third party's account or password. If the account is illegally used by others due to reasons not attributable to Coinvex (such as hacking, virus intrusion, or the User's own negligence), Coinvex shall not bear any responsibility.
- Without the consent of Coinvex, the User shall not gift, lend, lease, transfer, or otherwise dispose of the account to any third party.
- Coinvex identifies User instructions through the User's account and password. The User hereby confirms that all operations performed on the Platform after logging into Coinvex using the account and password represent the User's own actions. The electronic information records generated by the User's account operations shall be valid evidence of the User's actions, and the User shall bear full responsibility for all liabilities arising therefrom.
- After Coinvex notifies the User of foreseeable security risks, the User shall take appropriate measures to ensure the security of the account and password.
- If any third party uses the User's account and password without authorization, Coinvex and its legally authorized entities shall have the right to require the actual user to bear joint and several liability.
If the User discovers that a third party has fraudulently used or stolen their account and password, or that the use of their account by a third party is not legally authorized, the User shall immediately notify Coinvex through an effective method and request the suspension of relevant Services; otherwise, the User shall bear all liabilities arising therefrom. In addition, the User understands that Coinvex needs a reasonable amount of time to take action on the User's request. Coinvex shall not be liable for any losses caused by the third party's use of the Services before Coinvex takes action.
If Coinvex, based on its independent judgment, believes that there is or may be an event affecting transaction security, it shall have the right to suspend, interrupt, or terminate all or part of the Services provided to the User under this Agreement, delete or remove the User's registration information, and recover any illegal gains that the User may have obtained, without notifying the User and without bearing any liability to the User or any third party. The aforementioned events include:
- Coinvex believes that the information provided by the User is untrue, invalid, or incomplete (for example, the User registers a Coinvex account using unauthorized identity information of others, or the verification information provided by the User is inconsistent with the facts);
- Coinvex discovers that the User has engaged in abnormal transactions, or the User's transactions are suspicious or may be illegal;
- Coinvex believes that the User's account is involved in money laundering, cash-out, pyramid schemes, fraudulent use of others' information, or other situations that Coinvex deems risky or illegal;
- Coinvex discovers that the User has used illegal or improper technical means to engage in activities that endanger transaction security or affect fair transactions (including tampering with transaction data, stealing customer information, stealing transaction data, attacking other registered accounts through Coinvex, etc.);
- Coinvex believes that the User has violated any term or the spirit of this Agreement;
- Coinvex believes that the User may be involved in, or is currently involved in, pump and dump, wash trading, self-trading, front running, quote stuffing, spoofing, layering, or other types of market manipulation;
- Other circumstances where the User violates this Agreement;
- Other circumstances where Coinvex, based on reasons such as transaction security and through independent judgment, deems it necessary to suspend, interrupt, or terminate all or part of the Services provided to the User under this Agreement (including paid Services) and delete or remove the registration information.
If the User decides to stop using their account, they shall first settle all unpaid amounts (including service fees, etc.), withdraw all withdrawable crypto assets in the account (if any), apply to Coinvex for freezing the account, and formally cancel the account after Coinvex's review and approval.
The User agrees that if their account has not completed the identity verification process, Coinvex shall have the right to terminate the account service without prior notice to the User, and may immediately suspend, close, or delete the User's account and all relevant materials and documents in the account.
The User agrees that the suspension, interruption, or termination of the account does not mean the termination of the User's liabilities. The User shall still bear the liability for breach of contract or damages that may arise from their actions during the use of Coinvex Services; in addition, Coinvex may continue to retain the User's relevant information.
7. Content of Coinvex Services
Notwithstanding the foregoing provisions, the Coinvex Services stipulated in this Agreement include the following:
- User Account: After registering with Coinvex, the User will be assigned an account, which will record the User's activities on the Platform. The aforementioned account is the only account for the User to log in to Coinvex and use any Service on the Platform.
- Crypto Asset Transactions: The User may submit crypto asset transaction instructions through Coinvex and use the crypto assets in their account to trade with other crypto assets.
- Deposit and Withdrawal of Crypto Assets: The User may transfer crypto assets from other addresses to the designated address of their account, or transfer crypto assets from their account to other addresses.
- Transaction Status Update: The User confirms that the crypto asset transaction status confirmed by the User on the Platform in accordance with the Coinvex service process shall be an irrevocable instruction for Coinvex to conduct relevant transactions or operations on their behalf. The User agrees that the execution time of the relevant instructions shall be subject to the actual operation time of Coinvex in its system; Coinvex shall have the right to handle relevant matters in accordance with this Agreement and/or the relevant dispute resolution rules of the Platform. Any dispute or loss arising from the User's failure to modify or confirm the transaction status in a timely manner, or failure to submit the relevant application in a timely manner, shall be borne by the User on their own, and Coinvex shall not bear any responsibility.
- Transaction Instruction Transmission: Coinvex will transmit the transaction instructions when the User enters the transaction instructions and data. The User understands that Coinvex is only a matcher for crypto asset transactions, not a buyer or seller participating in crypto asset transactions, and Coinvex itself does not provide any services related to the deposit or withdrawal of legal tender of any country.
- Transaction Inquiry: Coinvex will record all operations of the User on the Platform (regardless of whether the purpose of the operation is ultimately achieved), and the User may query such transaction records under their account in real time through the account.
- Transaction Security Settings: Coinvex reserves the right to set transaction-related matters (including transaction limits, transaction hours, etc.) from time to time based on considerations such as transaction security. The User understands that the aforementioned settings of Coinvex may cause certain inconveniences to transactions and shall have no objection thereto.
- System Fault Handling: If Coinvex discovers that a processing error has occurred due to a system fault or other reasons, whether the error is beneficial to Coinvex or the User, it shall have the right to correct it. If the error results in the User actually receiving more crypto assets than they are entitled to, regardless of the nature and cause of the error, Coinvex shall have the right to correct the improperly executed transaction, and the User shall, in accordance with the specific requirements in the error correction notice issued by Coinvex, return the over-received crypto assets or perform other operations. The User understands and agrees that Coinvex shall not be liable for any losses or liabilities caused by the aforementioned processing errors.
You confirm and agree that the above list of Services is not exhaustive. All Services provided by Coinvex or its partners are provided "as is", and Coinvex reserves the right to reduce, change, cancel, terminate, or modify the Service content at its sole discretion. Depending on the country where the User is located, the Coinvex Services may vary in appearance, availability, pricing, operation method, etc. Coinvex reserves the right to modify such Services at its sole discretion and may choose whether to notify you. Each Service provided by Coinvex (whether currently provided, previously provided, or to be provided) shall be governed by separate terms contained in legal documents, and your use of the Service shall be deemed to mean that you have read and understood the nature of such terms.
In addition, the User confirms and agrees that if Coinvex, based on its independent judgment, believes that any of the following circumstances exists, it shall have the right to decide at its sole discretion to suspend the provision of all or part of the Services to the User, or suspend the User's access to all or part of the Services:
- The User may have violated this Agreement;
- The normal operation of the Coinvex Platform is at risk.
With respect to item (2) of this Article, the normal operation of the Coinvex Platform shall be at risk in the following circumstances:
- The computer or telecommunications network ceases to operate or fails to operate normally due to an accident;
- An event of force majeure affecting the provision of Services occurs;
- The assets of Coinvex, User assets, or the Platform are subject to an attempted or actual malicious attack (which may result in asset theft or loss, etc.);
- An event occurs that affects the normal operation of the key systems relied
